The Act requires that farm land, or farm land securities, are offered on the open market to people in New Zealand before they are sold to an overseas person, unless an exemption is sought by the applicant or a standing exemption applies.

We recommend that vendors advertise farm land comprehensively and before entering into an agreement for sale and purchase with an overseas person. This will help ensure that the market is tested for New Zealand interest and that advertising complies with the requirements – 'do it once and do it right'.

In some situations, qualifying coastal or marine areas, riverbed or lakebed (referred to as 'special land') must be offered to the Crown by the Vendor before consent can be granted to an overseas investment in sensitive land. The applicant will normally identify whether the land contains special land and advise you whether it must be offered to the Crown. Special land offers are conditional on the consent being granted and the transaction proceeding.

The Vendor's role in the offer process normally involves completing a 'notice of intention to offer special land to the Crown' and providing it to the applicant to submit with its application. The notice is provided through the applicant because the applicant will normally become bound by the offer should consent be granted and the applicant become the legal owner of the land. The Vendor's role in the offer process ends once the applicant becomes the legal owner of the land.
